Do units have to be in your region/assimilated in order to be upgraded and then retrofitted?

You can upgrade units model anytime but you can only retrofit them in one of your regions.

For assimilated minor factions, I am not sure, but I believe that your units model disappear if the faction is no longer assimilated, so retrofitting is no longer possible.

The game remembers your designs for whatever factions you've assimilated. So if you change your minor faction, then change back to your original minor faction, your old design will be there and you'll be able to retrofit your minor faction units.
